These Terms of Service ("Terms") are a binding agreement between you and Soufiane Mehdi Project Management Services LLC, a limited liability company registered in Office 205-426, Al Bahar Building, Plot 0-546, Al Khabeesi, Dubai, United Arab Emirates ("Rowvert", "we", "us"). They govern your access to and use of the website rowvert.com, our applications and API (together, the "Service"). By creating an account, purchasing a plan or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Rowvert converts PDF bank statements (digital or scanned) into Excel and CSV spreadsheets. Extraction is automated. Every conversion is checked against the statement's running balance and rows that do not reconcile are flagged, but automated extraction can still contain errors. You are responsible for verifying the output before relying on it for accounting, tax, lending, immigration, legal or any other purpose. The Service is a productivity tool and does not provide accounting, tax, financial or legal advice.
We may modify, suspend or discontinue features of the Service. We will give reasonable notice of changes that materially reduce the functionality of a paid plan.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or another person, you confirm that you are authorised to bind them to these Terms.
You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately at support@rowvert.com if you suspect unauthorised use. You must provide accurate information and keep it up to date. One person may not hold multiple free accounts to circumvent usage limits.
3. Plans, pages and usage limits
A "page" is one page of an uploaded PDF. Current allowances are: anonymous visitors 1 page every 24 hours; free accounts 5 pages every 24 hours (up to 20 per month); Starter 400, Professional 1,200 and Business 5,000 pages per billing period. Subscription allowances reset each billing period and unused pages do not roll over. The 100-page pack adds 100 pages valid for 90 days from purchase and is consumed after your plan allowance.
Pages are deducted when a conversion succeeds. Conversions that fail on our side are not charged. Files are limited to 100 pages and 25 MB. Password-protected PDFs must be unlocked before upload.
Converted files are kept for the retention period of your plan (1 day anonymous, 7 days free, 90 days Starter, 365 days Professional, for the life of the account on Business) and then deleted automatically. Download what you need within that period.
4. Prices, billing and automatic renewal
Prices are shown in US dollars and, unless stated otherwise, exclude any applicable VAT, GST or sales tax, which is added at checkout where required by law. Payments are processed by Stripe; we do not store your card details.
Automatic renewal. Subscriptions renew automatically at the end of each monthly or yearly billing period, at the then-current price for your plan, and your payment method is charged on each renewal date until you cancel. You can cancel at any time from Dashboard → Billing → Manage subscription, or by emailing support@rowvert.com. Cancellation takes effect at the end of the current billing period; you keep access until then. We will notify you by email at least 30 days before any price increase takes effect; if you do not agree you may cancel before the increase applies.
Plan changes. Upgrades take effect immediately and are prorated. Downgrades take effect immediately, with any unused value credited to your next invoice.
Failed payments. If a renewal payment fails we will retry it and email you. If payment is not received within 7 days, your plan reverts to the free tier until payment succeeds.
Refunds and cooling-off rights are described in our Refund & Cancellation Policy, which forms part of these Terms.
5. API and Business plan
The Business plan includes API access. API keys are confidential; you must not share them or embed them in client-side code. API usage counts toward your page allowance. You must not use the API to build a service that competes with Rowvert or to exceed rate limits we publish. We may rotate or revoke keys that are compromised or abused.
6. Acceptable use
You agree to upload only documents you own or are authorised to process, and to comply with all laws that apply to you, including data-protection, banking-secrecy and anti-money-laundering rules. You must not: (a) upload statements belonging to third parties without lawful authority; (b) use the Service to commit or conceal fraud, tax evasion or money laundering; (c) reverse-engineer, scrape or interfere with the Service; (d) circumvent usage limits, for example by creating multiple accounts or using automated tools against the free tier; (e) resell or white-label the Service without a written Enterprise agreement; or (f) upload malware or content that infringes others' rights.
We may suspend or terminate accounts that breach this section, with or without notice, and may report unlawful activity to the relevant authorities.
7. Your content and our intellectual property
You retain all rights to the statements you upload and the spreadsheets we produce from them ("Your Content"). You grant us a limited licence to process Your Content solely to provide the Service to you, including transmitting it to our document-extraction sub-processor. We do not use Your Content to train machine-learning models and we do not sell it.
The Service, its software, design, trademarks and documentation are owned by Soufiane Mehdi Project Management Services LLC or its licensors and are protected by intellectual-property laws. These Terms do not grant you any right to use our name or logos.
8. Privacy and data protection
How we collect, use, store and protect personal data is described in our Privacy Policy. Where you upload statements that contain personal data of other people (for example as an accountant or bookkeeper), you are the controller of that data and we act as your processor on your documented instructions; our data-processing terms apply.
9. Disclaimers
Except as expressly stated in these Terms and to the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that extraction will be error-free or that the Service will be uninterrupted.
Consumers. Nothing in these Terms limits rights that cannot be limited by law. If you are a consumer in the United Kingdom, the European Economic Area, Canada or Australia, you have statutory guarantees (for example under the UK Consumer Rights Act 2015 or the Australian Consumer Law) that services will be provided with reasonable care and skill; these Terms do not exclude those guarantees, and section 10 applies only to the extent permitted by them.
10. Limitation of liability
To the extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Service, even if advised of the possibility; (b) we are not liable for decisions you or others make based on converted data that you did not verify; and (c) our total liability for all claims arising out of or relating to the Service in any 12-month period is limited to the greater of USD 100 and the amount you paid us in that period.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.
11. Indemnity
If you are a business user, you will indemnify and hold harmless Soufiane Mehdi Project Management Services LLC and its officers and staff from claims, losses and expenses (including reasonable legal fees) arising from Your Content, your breach of these Terms, or your violation of any law or third-party right.
12. Term and termination
You may close your account at any time from Dashboard → Settings, which deletes your account data as described in the Privacy Policy. We may terminate or suspend your access if you materially breach these Terms, if required by law, or if we discontinue the Service (with at least 30 days' notice and a pro-rata refund of any prepaid, unused subscription period). Sections that by their nature should survive (including 7, 9, 10, 11 and 14) survive termination.
13. Changes to these Terms
We may update these Terms from time to time. For material changes we will email account holders and/or show a notice on the Service at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance; if you do not agree, cancel your plan before that date and the previous Terms apply until the end of your paid period.
14. Governing law and disputes
These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, and disputes are subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, except that (a) if you are a consumer, you also benefit from the mandatory consumer-protection provisions of the country where you habitually reside and may bring proceedings in your local courts; and (b) either party may seek injunctive relief in any competent court to protect intellectual-property rights.
Before starting formal proceedings, please contact us at legal@rowvert.com; most issues can be resolved within a few days. Residents of the United States may also use the small-claims court of their county of residence for qualifying claims. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. General
These Terms, the Privacy Policy and the Refund & Cancellation Policy are the entire agreement between us regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of our business. Notices to you will be sent to the email address on your account; notices to us go to legal@rowvert.com or by post to Soufiane Mehdi Project Management Services LLC, Office 205-426, Al Bahar Building, Plot 0-546, Al Khabeesi, Dubai, United Arab Emirates.
